Terms for the Chatbyte Platform

These Terms govern self-serve use of the Chatbyte Platform by businesses and other professional users. They apply to registration, access to workspaces, use of products and features, and related support and billing processes.

1. Scope and Formation of Contract

These Terms apply to use of the Chatbyte Platform in the self-serve model. The contract is formed once you register, accept these Terms, and your account is activated.

The Platform is intended for businesses and professional users. You represent that the information you provide during registration is complete and accurate.

2. Accounts and Access Security

You are responsible for keeping your credentials confidential and for securing access to your account appropriately. You must notify us without undue delay if you suspect unauthorized access or a security incident.

3. Service Scope

Chatbyte provides the Platform as a cloud-based service. The specific functionality available to you depends on the subscribed product, plan, and enabled features.

We may improve, modify, or discontinue features where there is a valid operational reason and the core contracted use is not unreasonably impaired.

4. Acceptable Use

You may use the Platform only in compliance with applicable laws, regulations, and third-party rights.

In particular, you may not use the Platform for abusive, fraudulent, misleading, or unlawful communications. You remain responsible for the content, workflows, data flows, and communication processes you configure.

5. Pricing, Billing, and Payment

The prices shown at checkout or in-product apply to your subscription. Recurring fees are billed on the agreed billing interval. Usage-based services may be charged according to measured consumption.

You must keep payment and billing details accurate and current. In the event of late payment, we may exercise our legal rights and restrict access after reasonable prior notice.

6. Data Processing and Confidentiality

Both parties will comply with applicable data protection laws. Where Chatbyte processes personal data on your behalf, the Data Processing Agreement applies in addition.

Both parties will treat the other party's confidential information as confidential and use it only for the purposes of performing the contract.

7. Intellectual Property

All rights in the Platform, the underlying software, and related materials remain with Chatbyte or its licensors. Unless expressly agreed otherwise, you receive only a non-exclusive, non-transferable right to use the subscribed services during the contract term.

8. Third-Party Services and Integrations

The Platform may connect with third-party services or integrations. Additional terms from those providers may apply. Chatbyte is not responsible for outages or changes that arise solely within the control of those third parties.

9. Term, Termination, and Suspension

The contract term depends on the subscribed plan. Either party may terminate in accordance with the applicable billing cycle and term rules.

We may temporarily suspend accounts or features where necessary for security, abuse prevention, compliance, or payment reasons. Serious or repeated violations may justify extraordinary termination.

10. Warranty, Liability, and Governing Law

The Platform is provided in line with the agreed service description and the current state of the art. Continuous error-free or uninterrupted availability is owed only if expressly agreed.

Liability is governed by applicable law to the extent it cannot be excluded. Where legally permissible, liability for ordinary negligence is limited to typical and foreseeable damages.

German law applies, excluding conflict-of-law rules. To the extent permitted, the place of jurisdiction is Hamburg, Germany.
